These Terms of Use govern access to and use of AlderHealth, a clinical operations platform operated by Miltinson Technologies LLC (“Miltinson,” “we,” “us”), and its public website (together, the “Service”).
The Service is a documentation, coding and workflow tool for licensed health care professionals. It does not provide medical advice, and it must not be used for emergencies.
The Service has not launched. Until it does, and until the agreements in section 5 are signed, it may be used only with sample data.
1. These terms and the Miltinson terms
These terms add to the Miltinson Technologies Terms of Use at https://www.miltinson.com/legal/terms (the “Miltinson Terms”), which apply to the Service and are part of these terms. Where these terms are silent, the Miltinson Terms apply. The Miltinson Terms cover, among other things, acceptable use, intellectual property, disclaimers, limitation of liability, indemnification, governing law and how terms change.
If documents conflict, this order controls:
- a signed agreement between Miltinson and the Customer, including any business associate agreement;
- these terms; then
- the Miltinson Terms.
You accept these terms when you sign in to the Service, or when you open a secure link sent to you. How we handle personal and health information is described in our Privacy Policy.
2. Who may use the Service
The Service is licensed to medical practices and other health care organizations (“Customers”). You may use it only if a Customer has given you an account, or if you are a patient’s representative opening a secure link sent to you. If you accept these terms for a Customer, you confirm that you have authority to bind it.
The Customer is responsible for who it gives access to, for the role each account has, and for removing access when someone leaves. You must keep your password, and any code emailed to you to confirm your address, to yourself, and tell the Customer and us promptly if you believe your account has been used without your permission.
3. Not medical advice; clinical judgment
The Service helps clinicians document visits, organize work and prepare claims. It does not practice medicine, and it is not a substitute for the professional judgment of a licensed clinician.
- Drafted notes, summaries, translations, suggested codes, risk flags, clinical scores, evidence answers and other output, whether produced by software rules or by AI, are suggestions. They can be incomplete or wrong.
- A clinician must review, edit and accept any output before relying on it. The clinician who signs a note is responsible for its content.
- The Customer is responsible for diagnoses, treatment and prescribing decisions, and for the accuracy of every claim, code and attestation it submits to a payer, including Medicare.
- Information from connected systems, such as faxes, device readings and hospital events, is shown as received and may be late, incomplete or matched to the wrong patient. Confirm it before acting on it.
4. No emergency use
The Service is not an emergency, monitoring or alerting system. Alerts, device readings and messages may be delayed or not delivered, and no one watches them for you.
In a medical emergency, call 911 or your local emergency number.
5. HIPAA and the Customer’s obligations
Before a Customer that is a HIPAA covered entity enters protected health information into the Service, it must sign a business associate agreement with us, and we must have signed business associate agreements with the providers that would handle that information. None of these agreements is signed today, so no Customer may enter real patient information yet.
The Customer remains responsible for its own obligations, including:
- its notice of privacy practices, and any patient consents or authorizations;
- using and disclosing only the minimum necessary information, and configuring access roles accordingly;
- deciding to turn on optional features that send information to other providers, such as AI features, voice dictation and connected systems, and holding its own agreements with the vendors of systems it connects under its own account;
- verifying a patient representative’s authority before we deliver notes to them;
- record retention, patient access requests and breach notices to patients; and
- the security of its own devices, networks and accounts.
6. Product-specific rules
In addition to the acceptable use rules in the Miltinson Terms, you must not:
- access patient information you do not need for your work;
- enter information about patients the Customer does not serve;
- share a secure note link or one-time code with anyone other than the person it was sent to;
- try to reach another practice’s data, get around access controls, or test the Service’s security without our written permission; or
- use the Service to submit claims you know or should know are false.
7. Customer data
As between us, the Customer owns the patient and practice information it puts into the Service. We use it only to provide the Service, as described in our Privacy Policy and our agreement with the Customer. When the Customer’s agreement ends, the Customer can ask us to return or delete that information. The Service does not yet delete records automatically; deletion is done by us, by hand, on request.
8. Connected systems
The Service can connect to systems run by others, such as electronic health records, fax, facility feeds and monitoring devices. Those systems are governed by their own terms. We are not responsible for their availability, accuracy or conduct, or for information after it leaves the Service at the Customer’s direction.
9. Availability and changes
We may change, suspend or discontinue features. We may suspend access, including a whole practice’s access, to contain a security incident or to stop a violation of these terms. Keep your own copies of records you are required to keep; the Service is not a substitute for the Customer’s record-keeping obligations.
10. Disclaimers and limitation of liability
The disclaimers and limitation of liability in the Miltinson Terms apply to the Service. In addition, to the fullest extent the law allows:
- we are not liable for clinical outcomes, or for decisions made using the Service or its output;
- we are not liable for denied, reduced or recovered payments, penalties or audits that result from codes, claims or attestations the Customer submits; and
- we do not warrant that the Service, including its AI features and coding suggestions, is accurate, complete, current or error-free.
Nothing in these terms limits liability that cannot be limited by law, or our obligations under a signed business associate agreement.
11. Governing law and venue
These terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. Any dispute arising from these terms or the Service will be brought only in the state or federal courts in King County, Washington, and you and we consent to those courts’ jurisdiction.
12. Changes to these terms
We will post changes on this page and update the date at the top. If a change is material, we will tell Customers before it takes effect. Continuing to use the Service after a change takes effect means you accept it.
